M·nica Rey Amado, Anna Mart·nez Bala’? join Telef·nica’s Board of Directors

The Board of Directors of Telef·nica S.A. has unanimously approved, at the proposal of the Nominating, Remuneration and Corporate Governance Committee, the co-opted appointments of M·nica Rey Amado and Anna Mart·nez Bala· as new independent directors of the company.

The Board has accepted the resignations of Ver·nica Pascual Bo· and Mar·a Rotondo Urcola from their positions as independent directors of Telef·nica, for professional and personal reasons, respectively, and with the aim of contributing to the orderly renewal process of Telef·nica's Board of Directors. The Board of Directors has thanked Ver·nica Pascual Bo· and Mar·a Rotondo Urcola for their services throughout their respective terms of office.

Both will remain linked to the Telef·nica Group, as Ver·nica Pascual Bo· will remain a member of the Advisory Board of Telef·nica Tech, and Mar·a Rotondo Urcola will be appointed a member of the Advisory Board of Telef·nica Spain.

M·nica Rey Amado has extensive experience as an executive director with more than 25 years of experience in digital transformation projects, corporate strategy, merger and acquisition execution, and operational excellence in Europe, the United States, and Latin America. She also has extensive experience on the boards of directors of various organisations, with a strategic focus on governance, digital innovation and risk management. She holds a degree in Business Administration from Boston University, completed the General Electric Financial Management Program in the United Kingdom and the United States, and subsequently attended the Authentic Leadership Programme at Harvard Business School. During her career, she has held various management and executive positions at General Electric, McKinsey, Grupo Prisa, Dracma Galicia and Atento, where she is currently Regional Director for EMEA.

Anna Mart·nez Bala· has experience in general management, team management and business project development in the cultural and service management sectors. Throughout her career, she has focused on optimising operations, structuring processes and launching initiatives with a strategic vision. She holds a degree in Business Management from ESADE Business School and an MSc in Innovation and Entrepreneurship from ESADE Business School. Throughout her career, she has been the founder and CEO of Sheltair and is currently the CEO of Bala· en viu and the CEO of Marianna en viu.

With these appointments, the Board of Directors continues to be composed of 15 members, maintaining its 40% female representation and a majority of independent directors.

At the same time, the Board appointed M·nica Rey Amado as a member of the Sustainability and Regulation Committee, replacing Mar·a Rotondo Urcola, and Ana Mar·a Sala Andr·s as a member of the Nominating, Remuneration and Corporate Governance Committee, replacing Ver·nica Pascual Bo·.
